We provide FinPAY, a comprehensive solution for opening business accounts, accepting payments, making transactions, issuing cards, and exchanging FIAT and crypto. The main goal of FinHub with the solution FinPay is aiming to streamline operations so merchants can focus on scaling their business. 

 

  1. Preamble 

1.1. The Agreement is bilateral agreement concluded between the Client and FinHub’s respective contracting party, which consisting of this Agreement, FinHub’s General Terms of Service (hereinafter referred to as ‘the Terms’) and a customer questionnaire. The term Agreement can also refer to any Client’s order to FinHub, which is not related to any special agreement concluded in written form. The Client confirms that is aware and that has read and agrees to accept the Terms.   

1.2. The meaning of the terminology used in the Agreement and the description of FinHub’s services is described in the Terms. 

 

  1. Subject of the Agreement

2.1. Subject of the Agreement is FinHub’s services, which the Client is undertaking to receive, and FinHub is providing to the Client according to the Agreement. Each customer questionnaire, application, order or special agreement that is concluded and approved in safe electronical way between the Client and FinHub, is an expression of the Client’s will to receive FinHub’s’ services. 

2.2.  In accordance with the Agreement, FinHub will open for the Client, for indefinite period, a payment account (hereinafter referred to as Account) the number of which is specified above and provide the Account and its management services. The account will be open using the gateway of an EMI partner of FinHub. In the context of this Agreement, an EMI partner will be considered a financial institution authorized to issue electronic money and provide payment services such as electronic funds transfers, bank accounts, and e-wallets. 

 

2.3. FinHub’s services are being provided based on the Terms, customer questionnaire, application, order or special agreement, which is concluded between the Client signs and FinHub. 

2.4. The Client has the right and is free to choose FinHub’s services most appropriate to the respective interest and to offer FinHub amendments in it, by concluding special provisions in that regard. 

2.5. In cases mentioned in the Terms stated on the website of FinHub, the latter has the right to stop or refuse providing the services to Clients, as well as to unilaterally amend the content of the services. 

2.6. Term of the Agreement, dispute resolution procedure and other provisions of the Agreement are stipulated in the Terms, which the Client has confirmed and accepted as binding to the Client by concluding this Agreement. 

 

  1. Fees 

3.1.  Client shall pay to FinHub all charges together with all expenses, and pass-through costs incurred by FinHub in connection with this Agreement and the Client will pay FinHub as per the price list of services and offerings. The Client herewith confirms being aware of the rates of services and operations set in the  

Price List, approved by FinHub. 

3.2. Parties may agree on individual FinHub prices or provisions of the Agreement by concluding special provisions to the Agreement. 

3.3. Charges for services will be debited by FinHub on the behalf of the EMI partner from the Client’s Account on the day of operation in EURO or other currency based on the exchange rate fixed by the EMI partner. 

3.4. In the case of the Client’s failure to pay, FinHub charges for the debt resulting from the overdraft of the Account, including interest and penalty amounts, also  for the issue, renewal, production of the Card use, administration and servicing of the Account and related charges, FinHub has the right to debit the amount of debt, interest, default interest or penalties from all Client’s accounts with FinHub in any currency and/or settle the Client’s debt against FinHub’s obligations in respect of the Client and/or recover the Client’s debt in accordance with the procedure established by legal acts of the respective jurisdiction, where the EMI partner is incorporated .  

 

  1. Provisions of Agreement entry into force

4.1. The Agreement is entering into force is from the moment when FinHub opens and activates Account for the Client. 

 

 

  1. Payment cards

5.1. Upon the submission by the Client of a written application in the form defined by FinHub and after taking a positive decision, FinHub will initiate the production of a Payment Card (hereinafter referred to as “the Card”) which will be related to the Account. By using the Card, the Client may dispose of the funds in the Account related to the Card. At the Client’s request, the Card may be issued not only to the Client, but also to another person indicated by the Client (hereinafter referred to as the ‘Card Holder’) with an approval of the Card Holder. 

5.2. Following the initiation of the Card production, FinHub has the right to debit a fee for the issue of the Card indicated in the Price List before handing over the Card to the Client/Card Holder. 

5.3. In the event of the Client’s/Card Holder’s failure to collect or activate the Card within 60 (sixty) calendar days of the ordering of the Card with FinHub or renewal after its expiry or reproduction within its validity period, FinHub has the right to destroy or cancel the produced/renewed Card, however this does not relieve the Client from the obligation to pay the fee for the issue of the Card. The fee paid for the issue of the Card will not be refunded. The Client and FinHub agree that FinHub will deliver the produced Card to the Client directly or through the FinHub authorized person or will send by mail to the Client’s specified address. 

5.4. The Client must inform the Card Holder of the requirements set for the Card Holder in relation to the use of the Card to ensure proper and safe use of the Card. 

5.5. Each Card is given a personal identification code (hereinafter referred to as ‘PIN code’) by Client / Card Holder using PIN assign functionality which is provided to the Client / Card Holder with the Card. The Client/Card Holder must take care of safe use of the Card. The Client must inform the Card Holder of the requirements set for the Client/Card Holder in relation to the use of the Card and the provisions of this section in order to ensure proper and safe use of the Card. 

5.6. The Client has the right, with a notice to FinHub, at any time to refuse to use the Card. Where the Client has no intention to renew the Card, the latter ust inform FinHub thereof in writing no less than one (1) month before the expiry of the Card. In the event of the Client’s failure to give FinHub a timely and proper notice of his intention to terminate the use of the Card, FinHub is entitled to renew the Card automatically and to charge the Client for the issue/renewal of the Card. 

5.7. Relations of the Parties concerning the use of the Card will terminate upon the Client’s refusal of the Card or after the expiry of the last issued Card, i.e. provided that there is no valid Card remaining or the Card issued /renewed is destroyed by FinHub. 

5.8. The provisions of this section laid down herein do not constitute FinHub’s commitment to issue the Card, Card will be issued if FinHub  provides this option and the Client wish to get it. 

 

  1. Confirmations of the Client

By using FinHub’s services, outlined in this Agreement, the Client confirms that: 

6.1.  Means an expression of the Client’s will to conclude the Agreement. 

6.2. Client has become familiar with the provisions of the Agreement which consists of the Terms, Price List, customer questionnairet, agrees to them and recognizes them to be binding to the Client.                                                                                                   

6.3. Before concluding the Agreement, FinHub has informed and explained to the Client the Agreement terms, including the rights and obligations of the Client, as well as the amounts of FinHub commission fees set in the Price List 

6.4. Before concluding the Agreement, FinHub has informed the Client about the possibility to agree on amendments in the provisions of the Agreement by concluding the amendments to the Agreement. 

6.5. Client agrees that FinHub shall use the e-mail address, postal address and phone number of the Client indicated in the customer questionnaire to inform the Client on services offered by FinHub.  

6.6. Client allows FinHub to perform processing of the Client’s data (gathering, saving, registering, submitting, transferring, transmitting and other), which the Client has submitted to FinHub, as well as, in the order set by applicable law, to request and receive the mentioned data and other information from third persons and process it. FinHub has the right to transfer personal data of the Client to third persons, if FinHub considers it necessary in order to provide services or collect debts from the Client; 

6.7. Client agrees to provide additional information if FinHub requires it to specify information indicated in the Agreement. 

6.8. All the information provided in this Agreement are complete and true, the Client has become familiar with the Price List, the Terms, structure of the Agreement, as well as the Client confirms that the Agreement is understandable and binding to the Client. 

6.9. The Client undertakes immediately to inform FinHub in a written form on any significant changes in the information that is with utmost importance for the proper execution of the Agreement. 

 

  1. Privacy Notice

The Client acknowledges that the implementation of this service involves personal data processing by FinHub and the processors involved in providing the requested service(s).  

By signing the Agreement, the Client acknowledges being informed about the general terms and conditions of personal data processing provided in FinHub Privacy Policy which can be found at https://finhub.cloud/privacy-policy/  and of the purposes and legal basis of the processing as well as any processors, recipients of personal data and the exercise of data subject rights as well as relevant terms and definitions.  FinHub Privacy Policy will specify the period for which the Client’s personal data will be stored.
